Clover Network LLC and its affiliates (together, we, us, and our) have created a Clover Certified Partner Badge (the Badge) for approved partners to use in their promotion of Clover-branded hardware and software services (Clover Products). In connection with your promotion of Clover Products, we grant you a limited, non-exclusive, non-transferrable, non-sublicensable, royalty-free license to use the Badge.
By clicking to accept these terms, you agree that:
- You will use the Badge in accordance with our Clover brand guidelines, currently available at on firstdataclients.com, as they may be updated from time to time.
- You must obtain our written approval before adding the Badge to any specific website or marketing material. You will comply immediately with any instruction from us regarding your use of the Badge, including any instruction to remove the Badge from your websites or marketing materials.
- You will not otherwise distribute, lease, sublicense, sell, modify, create derivative works from, or copy the Badge or the underlying trademarks, service marks and logos (collectively, the Marks). If you use any sub-ISOs or other agents to promote Clover Products, they must separately agree to these terms. You are responsible for your sub-ISOs’ and agents’ use of the Badge.
- We reserve all rights in and licenses to the Badge and the Marks (whether express or implied) that we have not specifically granted to you under these terms or in any other agreement.
- At any time and in our sole discretion, we may:
- • Revoke your right to use the Badge generally or with respect to particular websites or marketing materials;
- • Remotely update, disable, or remove the Badge on your websites; or
- • Use your name and Marks on our websites, marketing materials, or in any public listing of Clover Partners.
- These terms and your use of the Badge are subject to the applicable agreements that govern your promotion and solicitation of Clover Products. Your right to use the Badge will automatically terminate upon the termination of those agreements.
You confirm that you are an authorized signatory for the business entity permitted to use the Badge to promote Clover Products and you have agreed to these terms on behalf of yourself and that business entity.
